Terms & Condition

In these Terms & Conditions, the following words shall have the following meanings:


Offices & Operations

We are a team working from Bangladesh and South Asia continent for US-based customers, which means our support and services is an online platform through which customer can contact us. We encourage you to contact our CEO in the US for any on-premise official inquiries. 


Working Days

Our support and services are open all weekdays, Monday to Sunday. Time and day are flexible for any officials, meetings, and related arrangements. Our remote office will be closed for local holidays only during religious festivals. For family events and medical emergencies of any support team member, we will have alternate support team members for continuous support assistance.

 

Confidentiality

Confidentiality in our terms means keeping all information confidential or not publicly available in any form or medium provided for the confidentiality of any document,  contract, and all confidential information disclosed.

 

Customer Responsibilities

  • Customers may only authorize employees, agents, and consultants to access and use our support and services. And, customers will be responsible for all access to and use of the support service (authorized or otherwise). 
  • Customers will perform or comply with the responsibilities and agree that SpiderNet’s provision of the service is dependent on the customer performing or complying.
  • Customers must provide that it has and will have all necessary permissions, approvals, and consent from product vendors or licensors during the support services of a contract to enable the services.
  • SpiderNet Bangladesh will not provide support for any illegal activity.

 

Payment Terms

In consideration and subject to payment by customers, we have the following terms and conditions:

  • Fee types,
    1.  Monthly fees for all maintenance and support agreements agreed upon by each party. Payment under any Support and Services is payable in advance and on the Commencement Date and on the first day of each month thereafter,  prior to any request made to the Support Team.
    2. Per course fee for any of our courses and training materials.
    3. Per support fee in advance for any short-term support services. We discourage hourly work fees.  
  • All fees payable under any Agreement shall be exclusive of value-added, sales, withholding, or similar taxes, which shall be additional to prevailing rates. All payments will be made through Payoneer during the signup process with us. We will send you a payment link where you can browse the payment. 
  • We are only a support and service provider. All hardware import or duties are not our responsibility. Customers will be reconsidered and in case of any discomfort, we will refund as per the contract.
  • In the event of early termination of a contract by customers, SpiderNet Bangladesh shall not refund or credit any portion of the payment for any unused portion of the contract.
  • If any sum payable under a contract is not paid, SpiderNet Bangladesh will be entitled to suspend access to the Support Services until payment is made in full. We will not charge interest on any due payment, but a 4% penalty fee will be added for repeat maintenance.

 

Limitation of Liability

Nothing in any contract will exclude or limit:

  • Neither party shall be liable for personal injury caused by the negligence, fraud, or fraudulent misrepresentation of either party.
  • Unexpectedly,  there may be delays in reassigning support engineers, in which case we will have to allow additional time for the work.
  • Customers will be liable for a suspended contract or delayed payment.
  • SpiderNet Bangladesh will not be liable for any of the following, whether due to customer misrepresentation, negligence, own misconfiguration, or technical violation and will not reconstruct within the same contract:
    1. loss of profit;
    2. loss of data;
    3. loss of revenue,
    4. loss of connectivity or degradation of network bandwidth;
    5. loss of system availability or access to systems;

 

Contract Administration

No purported alteration or variation of a contract will be effective unless it is in writing and is executed by each of the parties. All amendments or correspondence concerning or relating to a contract are to be delivered by either party.

 

Notices

  • SpiderNet Bangladesh will have all rights for announcing holidays, and work delays due to medical emergencies of the assigned support engineer.
  • SpiderNet Bangladesh will have all rights to cancel a contract due to misuse of customer responsibilities and in this case, there will be no refund of paid tasks or completed jobs, also no penalty to be refunded.
  • SpiderNet Bangladesh will have all rights to follow any notice under the USA and Bangladesh governments. In this matter, customers may not oblige or claim refunds and contract cancellations. The projected time and days may have been extended instead.
  • Notices will be given to email addresses under a contract. In case of temporary closure of all office activities for any reason, notice will be given by email as well as published on the website.
